1. Merchant Relationship
The Seller App allows approved merchants to create listings, manage inventory, receive and fulfill
orders, communicate through platform workflows, and receive payouts subject to Afromark’s
marketplace rules. Afromark may act as a platform operator, marketplace facilitator, technology
provider, or other service provider depending on how the transaction is structured.
2. Merchant Obligations
Merchants are responsible for the legality, accuracy, safety, quality, pricing, and description of their products; for maintaining lawful business operations; for complying with food, health, labeling,
consumer, and tax laws that apply to their goods and services; and for honoring orders they accept
unless cancellation is permitted by the platform or required by law. Merchants must keep inventory
current, respond to support requests reasonably, and maintain accurate business information in the
app.
3. Platform Standards and Enforcement
Afromark may review listings, remove prohibited or high-risk products, suspend fulfillment, hold
payouts where permitted by law or agreement, investigate fraud or abuse, and suspend or terminate
seller access for policy violations, customer harm, repeated service failures, counterfeit or illegal
goods, noncompliance, or legal risk. Afromark may also implement category restrictions or
documentation requirements to address marketplace risk or local operating conditions in New York City.
4. Fees, Payouts, and Taxes
Marketplace fees, settlement timing, chargeback handling, promotional rules, taxes, and
adjustments are governed by the commercial terms communicated by Afromark. Sellers remain
responsible for their own taxes, licensing, and business recordkeeping unless Afromark expressly
agrees otherwise in writing.
5. Intellectual Property and Content
Merchants may only upload names, logos, images, descriptions, and other content they have the
right to use. Afromark may use seller-submitted content as necessary to operate, market, and
support the marketplace. Afromark’s platform, source code, workflows, and branding remain the
property of Afromark or its licensors.
6. Disclaimer, Liability, and Governing Law
The Seller App is provided on an “as is” and “as available” basis to the fullest extent permitted by
law. Afromark is not liable for indirect or consequential damages arising from merchant use of the platform, except as otherwise required by law. These Terms are governed by the laws of the State of New York.
